Terms of Service

Errova is a hosted error monitoring and log monitoring service operated by Cynera Labs LLC, located in Arkansas, USA. These Terms of Service govern your access to and use of errova.com, the Errova hosted application, APIs, SDKs, alerts, integrations, and related services (collectively, the Service).

By creating an account, clicking to accept these terms, using the Service, or sending data to Errova, you agree to these Terms. If you use the Service on behalf of a company, employer, or other organization, you represent that you have authority to bind that organization, and you and your in these Terms refer to that organization.

These Terms should be read together with our Privacy Policy and Pricing information. If we enter into a separate written agreement with you covering the Service, that agreement controls to the extent of any conflict.

1. Eligibility and account responsibilities

You must be legally able to enter into a binding contract to use the Service. You are responsible for providing accurate account information, keeping credentials and API keys confidential, and promptly notifying us if you believe your account has been accessed or used without authorization.

When prelaunch waitlist signup is available, you may submit an email address to request launch updates. You agree to provide an address you control and understand that waitlist submission does not guarantee account approval, launch timing, feature availability, or service continuity on any specific date.

You are responsible for all activity that occurs through your accounts, workspaces, project credentials, SDK keys, and integrations, whether that activity is taken by your employees, contractors, administrators, or other authorized users.

2. Workspace administration and organizational use

Errova includes workspace and member-management features. Workspace owners and administrators may invite or remove users, manage billing, control project settings, configure integrations, and access telemetry, alerts, and related workspace data.

If you join a workspace managed by an employer, client, or another organization, that organization may control your access to the Service and your use of that workspace. We are not responsible for internal disputes between you and your organization regarding ownership, administration, or access rights.

3. License to use the Service

Subject to these Terms, Cynera Labs LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the term of your account for your internal business or personal monitoring purposes.

Except to the extent applicable law prohibits a restriction, you may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or otherwise attempt to derive the source code or underlying ideas of the hosted Service, or use the Service to build a substantially similar competing hosted service by copying its non-public features or workflows.

4. Acceptable use

You must use Errova responsibly and in a way that protects the security, reliability, and availability of the Service and other users.

  • Use Errova only in compliance with applicable law and without infringing or violating anyone else's rights, privacy, or confidentiality obligations.
  • Do not access, probe, scan, test, or use non-public areas of the service, or bypass authentication, rate limits, or security protections, except through an authorized security-testing program we expressly approve.
  • Do not interfere with the service or other customers, including by sending malware, abusive automated traffic, spam, denial-of-service traffic, or code intended to disable, overburden, or impair the service.
  • Do not share account credentials between multiple people or use another person's account without authorization.
  • Do not submit telemetry, logs, or other content unless you have the rights and lawful basis needed to collect it and send it to Errova.
  • Do not send secrets, passwords, authentication tokens, full payment card data, government ID numbers, health information, or other highly sensitive or special-category data unless doing so is strictly necessary, lawful, and properly disclosed.
  • Do not use Errova in life-safety, emergency-response, medical, or other high-risk environments where a failure or missed alert could reasonably lead to death, personal injury, or severe physical or environmental harm.

5. Customer data, telemetry, and your permissions

As between you and Cynera Labs LLC, you retain your rights in the telemetry, logs, stack traces, messages, attachments, configuration data, and other content that you or your users submit to the Service (Customer Data).

You grant Cynera Labs LLC and its subprocessors a non-exclusive, worldwide license to host, store, reproduce, transmit, display, back up, and otherwise process Customer Data only as necessary to provide, secure, maintain, troubleshoot, and support the Service, to prevent abuse, and to comply with law.

You are responsible for Customer Data and for the legality of collecting it, sending it to Errova, and instructing us to process it. That includes providing all notices, obtaining all consents, establishing any other lawful basis, and honoring data-subject rights where required by applicable law.

If you use Errova to process personal information on behalf of others, you represent that you have the authority to do so. Our handling of personal information we collect directly about our relationship with you is described in our Privacy Policy.

6. Plans, billing, auto-renewal, and cancellation

  • Paid plans renew automatically on a recurring monthly basis unless a different billing period is clearly stated at checkout or in a separate written agreement.
  • Before charging you, we present the material recurring billing terms through our checkout flow or billing settings. By starting or continuing a paid plan, you authorize Cynera Labs LLC and its payment processor to charge the payment method on file for subscription fees, applicable taxes, and usage-based charges permitted by your selected plan and settings.
  • Pricing, included usage, event retention, overage blocks, rollover mechanics, and cap controls are described on our Pricing page and in-product billing settings. If your usage reaches plan limits, bank limits, or configured caps, ingest, alerts, or other service functionality may be limited, delayed, or hard-stopped until capacity is restored.
  • Unless required by law or expressly stated otherwise by us in writing, fees are non-refundable, including for partial billing periods, downgrades, unused capacity, or time remaining after cancellation.
  • You can cancel recurring paid service through the online billing settings, the payment-processor customer portal we make available, or another online cancellation method we provide. Cancellation stops future renewals at the end of the current billing period unless applicable law requires a different result.

You are responsible for any sales, use, value-added, withholding, or similar taxes, duties, or levies associated with your purchase or use of the Service, other than taxes based on Cynera Labs LLC's net income.

7. Third-party services and integrations

The Service may interoperate with or depend on third-party services such as payment processors, hosting providers, email providers, authentication tools, bot-protection services, and customer-enabled integrations like Slack. Your use of those third-party services is governed by their own terms and privacy policies, not these Terms.

If you enable a third-party integration, you authorize Cynera Labs LLC to exchange Customer Data and account information with that integration as needed to operate it. We are not responsible for third-party products or services, including their availability, security, or how they handle your data.

8. Intellectual property and feedback

Cynera Labs LLC and its licensors own the Service, including the website, software, interfaces, documentation, design, branding, and all related intellectual property rights. These Terms do not transfer any ownership rights to you.

If you provide suggestions, ideas, enhancement requests, bug reports, or other feedback about Errova, you grant Cynera Labs LLC a worldwide, perpetual, irrevocable, royalty-free right to use that feedback for any lawful purpose without restriction or compensation to you.

9. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if:

  • your use violates these Terms, applicable law, or another person's rights
  • your use creates a security risk, service instability, or credible risk of harm to Errova, our systems, or other users
  • payment is overdue, reversed, or subject to a chargeback, or we reasonably suspect fraud
  • we are required to do so by law, court order, regulator, sanctions program, or law-enforcement request
  • your workspace exceeds the limits, caps, or other technical guardrails associated with its plan

Where reasonably practical, we will try to give notice before suspension. We may act without prior notice if immediate action is needed to protect the Service, other users, or compliance obligations.

After termination or account closure, your right to use the Service ends immediately, but we may retain limited information as required by law, for legitimate accounting and security purposes, and in backups or archived systems until those backups are rotated or securely overwritten.

10. Service changes, availability, and pre-release features

We may add, remove, or modify features, plan limits, integrations, and technical requirements from time to time. We may also perform maintenance, suspend functionality, or change the Service as needed for security, legal compliance, product development, or operational reasons.

Unless we expressly agree otherwise in writing, Errova is offered without a service level agreement, guaranteed uptime commitment, or guaranteed response time. We do not promise that the Service will be uninterrupted, error-free, or able to detect every incident or deliver every alert.

If we label a feature as beta, preview, early access, or experimental, that feature may be incomplete, changed, or withdrawn at any time and may be subject to additional terms. Unless we expressly state otherwise, pre-release features are provided as-is.

11. Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." CYNERA LABS LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

Errova is a monitoring tool, not a guaranteed prevention, backup, archival, legal, compliance, or incident-response service. You are responsible for maintaining your own backup, logging, alerting, and recovery processes appropriate for your systems.

Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable law. In that case, the exclusions above apply only to the extent permitted by law.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYNERA LABS LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS INTERRUPTION, OR SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF CYNERA LABS LLC ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNTS YOU PAID TO CYNERA LABS LLC FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose, but only to the extent permitted by law.

13. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Cynera Labs LLC, its affiliates, and their respective personnel from and against third-party claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • your Customer Data
  • your use of the Service in violation of these Terms or applicable law
  • your infringement, misappropriation, or violation of another person's rights

This section does not apply to the extent a claim results from Cynera Labs LLC's own breach of these Terms, gross negligence, or willful misconduct.

14. Governing law and disputes

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Service are governed by the laws of the State of Arkansas and applicable federal law of the United States, without regard to conflict-of-laws rules.

Before filing a formal legal claim, each party agrees to try in good faith to resolve the dispute informally by contacting the other party with enough detail for the issue to be evaluated. If a dispute is not resolved within 30 days after notice, either party may bring the claim exclusively in the state or federal courts located in Arkansas, USA, and each party consents to the personal jurisdiction and venue of those courts.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief where necessary to protect intellectual property, confidential information, account security, or the Service from misuse.

15. Changes to these Terms

We may update these Terms from time to time to reflect product changes, legal requirements, billing changes, or operational needs. When we do, we will post the updated version here and revise the "Last updated" date above.

If a change is materially adverse, we will use reasonable efforts to provide advance notice, such as through the Service, billing settings, or email. Your continued use of the Service after updated Terms become effective means you accept the updated Terms. If you do not agree, you must stop using the Service and cancel any paid plan before the next renewal.

16. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be enforced to the maximum extent permitted by law.

A failure by Cynera Labs LLC to enforce any provision of these Terms is not a waiver of its right to do so later. You may not assign or transfer these Terms or your rights under them without our prior written consent, except where applicable law prohibits that restriction. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Cynera Labs LLC is not liable for delays or failures caused by events beyond our reasonable control, including internet or infrastructure failures, utility outages, labor disputes, acts of war or terrorism, civil unrest, natural disasters, epidemics, or governmental actions.
